This Agreement is governed by the laws of the State of New York. You consent to jurisdiction in the state and federal courts in New York County, New York.
You may not assign this Agreement. Acturion may assign its rights and obligations without restriction.
Any claim must be brought within one year of the event giving rise to the claim.
No waiver is effective unless in writing. Delay in enforcement does not constitute a waiver.
All remedies are cumulative. Breaches of intellectual property rights may result in injunctive relief in addition to legal remedies.
Nothing in this Agreement creates a partnership or agency relationship.
If any provision is held unenforceable, the rest of the Agreement remains in effect.
This Agreement constitutes the entire agreement between you and Acturion regarding use of the Site.
